CVR Energy Announces $1 Billion Private Placement of Senior Notes Due 2031 and Senior Notes Due 2034

SUGAR LAND, Texas–(BUSINESS WIRE)–CVR Energy, Inc. (the โ€œCompanyโ€ or โ€œCVR Energyโ€) (NYSE: CVI) announced today that, subject to market conditions, it intends to offer (the โ€œOfferingโ€) for sale in a private placement pursuant to Rule 144A and Regulation S under the Securities Act of 1933, as amended (the โ€œSecurities Actโ€), $1 billion in aggregate principal amount of senior unsecured notes due 2031 (the โ€œ2031 Notesโ€) and senior unsecured notes due 2034 (the โ€œ2034 Notesโ€ and, together with the 2031 Notes, the โ€œNotesโ€). The Notes are expected to be jointly and severally guaranteed on a senior unsecured basis by certain of the Companyโ€™s domestic subsidiaries, including each of the Companyโ€™s subsidiaries that is a borrower or guarantor under the Companyโ€™s existing $345 million senior secured asset based revolving credit facility (the โ€œPetroleum ABLโ€).


The Company intends to use the net proceeds from the Offering, together with cash on hand or borrowings under the Petroleum ABL, to (i) repay all of the aggregate principal balance under its senior secured term loan facility (the โ€œTerm Loanโ€), (ii) redeem all of its outstanding 8.500% Senior Notes due 2029 (the โ€œ2029 Notesโ€) and (iii) redeem $217 million aggregate principal amount of its outstanding 5.750% Senior Notes due 2028 (the โ€œ2028 Notesโ€).

The offer and sale of the Notes and the related guarantees have not been registered under the Securities Act, or any state securities laws, and unless so registered, these securities may not be offered or sold in the United States except pursuant to an exemption from, or in a transaction not subject to, the registration requirements of the Securities Act and applicable state securities laws. The Company plans to offer and sell these securities only to persons reasonably believed to be qualified institutional buyers pursuant to Rule 144A under the Securities Act and to non-U.S. persons outside the United States pursuant to Regulation S under the Securities Act.
